Could be a number of things. If you have checked the obvious, right version of the software, typos, not had any major repairs etc then you can always ring microsoft. Generally they have always been pretty helpful when it comes to authentification codes assuming you have the real deal. * +

Laptop or desktop? Have you changed the motherboard? When did it first happen? Have you reinstalled windows and if so how/what disk? What happens when you try to activate? Did you buy a retail version of Windows or was it pre-installed? * +
