manufacturer, the retailer does not have to replace oem sales as long as its outside a reasonable period, anything from 1 week to 28 days depending on the item. * +

a shop can also sell you an o.s. if you buy a motherboard a cpu and a hdd. (legaly classed as a working computer) if it cant or wont licence you. but it cant sell you an oem o.s. just by itself. as per tems of the microsoft eula. oem software is also tied to the first hdd you install it on but this can be gotten round with a phone call to m.s. ( i told them i was reinstalling due to an upgrade ) * +

over 3 years i added new hdds, changed the motherboard, the ram the cpu and the gfx card but kept the original hdd each time i installed i had to phone m.s. to get a new key via the phone activation, i only had to tell them i upgraded the 1s, after that all my subsiquent registrations went through straight away without having to talk to the MS.rep. *
